WHEREAS; The Miss Gay Louisiana America Advisory Board are the owners of all rights including but not limited to the dramatic radio, movie, print, and television rights in a certain work known as the Official Miss Gay Louisiana America Pageant.
The Promoter desires to promote similar pageants, also known as official or direct preliminaries to the Official Miss Gay Louisiana America Pageant, with the exclusive right of the winner and 1st alternate of said pageant to be the Official entry in the next Official Miss Gay Louisiana America Pageant, and WHEREBY IT IS HEREBY AGREED AS FOLLOWS:
The Miss Gay Louisiana America Advisory Board does hereby grant to the Promoter, the exclusive right to present a pageant of the type set out above, with the winner and 1st alternate thereof being the official entry from said state in the next official Miss Gay Louisiana America Pageant, subject to the following terms and conditions:
This franchise agreement is non-transferable without the written consent of the Miss Gay Louisiana America Advisory Board.
The Promoter, upon signing this agreement, agrees to pay the Miss Gay Louisiana America Advisory Board the annual sum of $600.00 as a pageant fee. Said annual fee is valid for the Miss Gay Louisiana America 2026 Pageant season. It is understood that said fee DOES NOT cover the appearance fee of the reigning Miss Gay Louisiana America titleholder, who is required to attend the City Preliminary Pageant.
This agreement will be renewable on a yearly basis, at the option of the Miss Gay Louisiana America Advisory Board. As of the effective date of this agreement, the “standard” franchise city preliminary pageant fee is $600.00 per annum. A non-refundable deposit of $100.00, or full franchise fee, must be received at the time of consummation of this Agreement prior to the announcement of the above named pageant, as an “official preliminary”. Any remaining balance is due 30 days prior to the above named scheduled pageant.
Unless otherwise indicated in writing by the Miss Gay Louisiana America Advisory Board, Pageant fees include: franchise fee, crown fee, entry fees (for winner and first alternate of the above named pageant) to the next Miss Gay Louisiana America Pageant, a pre-structured (by the Miss Gay Louisiana America Advisory Board or its assigns) webpage on the www.MissGayLouisianaAmerica.com, two (2) promoter passes for all MGLA 2026 events (includes admission and seating). Pageant fees are subject to change and are changed at the discretion of the Miss Gay Louisiana America Advisory Board.
A pageant may not have a confirmed date set for the pageant or can a pageant date be confirmed and held without a paid contract. Likewise, a pageant date may not be advertised unless approved by the Miss Gay Louisiana America Advisory Board.
The franchise will terminate on the final night of the reign of the most current Miss Gay Louisiana America (who will reign during the current pageant season). Renewal intent for the next pageant season must be made within a 60-day period after the final night of the Official Miss Gay Louisiana America Pageant. It is the general procedure of the national/state office to obtain annually, a current (for the next pageant season) Franchise Agreement; however, in the event that a current (for the next pageant season) Franchise Agreement is not properly executed, the most recent Franchise Agreement (with the current Promoter) shall govern, pending proper execution of a current Franchise Agreement. If appropriate renewal procedures are not followed, the pageant will revert to the sole ownership of the Miss Gay Louisiana America Advisory Board, its successors or assigns. While this Franchise Agreement may indicate a certain "pageant season" the terms and condition of this Franchise Agreement is automatically renewable unless the Promoter advises (in writing) to the Miss Gay Louisiana America Advisory Board, within 30 days of the calendar year end, of intent for non-renewal. Although this Agreement is "automatically" renewed, the Miss Gay Louisiana America Advisory Board retains the rights to require the Promoter to sign a "current" Franchise Agreement annually.
With proper execution of this Agreement and payment of the Franchise fee named within, the Promoter will be guaranteed the exclusive use of the name of the contest (named in this Agreement) and designation of said pageant, as an official direct preliminary within the Official Miss Gay Louisiana America Pageant System so long as the Promoter remains in good stand with the national/state office. If declared by the national/state office, not to be in good-standing, the franchise will be revoked and returned to sole ownership of the Miss Gay Louisiana America Pageant system whereby the Promoter forfeits any and all fees previously paid to the state office, its successors and/or assigns.
The Official Miss Gay Louisiana America logo, “Gay America Pageants official preliminary a division of 2 Queens and a Princess with Symbol of Excellence” logo must be used on all contest applications, advertising, and all other related materials.
The Promoter agrees that the Promoter must provide two entries from said preliminary for competition in the Official Miss Gay Louisiana America Pageant. The city preliminary promoter is responsible for the entry fees for their entries into the Official Miss Gay Louisiana America Pageant, and the entry fees must be paid in full as they are included in the pageant fees detailed herein. If the Promoter is unable to provide 2 qualified contestants to compete in the next state competition, the Miss Gay Louisiana America Advisory Board may appoint a contestant as a “Representative” of said contest. Said appointed position, by the national/state office will occur consistent with the Promoters Handbook detail relative to appointed contestants.
The Promoter agrees to abide by all rules and regulation of the Miss Gay America organization as detailed in the official Miss Gay America Handbook for Promoters. Likewise, the Promoter clearly understands that such willful violation can result in revocation of their franchise and forfeiture of any fees paid to the state office. The national/state office reserves the right to adjudicate any actions of the promoter that are deemed otherwise than to be in the best interest of the Miss Gay America organization whereby the decision of the national office relative to any issues will be final.
The Promoter will be required to furnish the applications and rules with regulations parallel to the guidelines of the Official Miss Gay America Pageant. State Promoters will provide to its City Preliminary Promoters, a copy of the Promoters Handbook. Any variation or amendment to the national regulations must be approved in advance and in writing by the national office. State Promoters will provide to its City Preliminary Promoters, a Franchise Agreement that parallel the regulations of the Miss Gay America organization. Any variation or amendment to the national regulations must be approved in advance and in writing by the national office.
The Promoter must use the Official Miss Gay America score sheets and implement the accumulative scoring system. THERE ARE NO EXCEPTIONS.
If at anytime during the franchise year, the actions of the Promoter are determined to be damaging to the purchased franchise of the Official Miss Gay Louisiana America Pageant, or pageant fees are not made on demand, or the contest is not consistent with standards of the national/state office, or the franchise fails to follow the rules and regulations for preliminary promoters, included but not limited to those detailed in the Handbook for Promoters, the Miss Gay Louisiana America Advisory Board will have the right to cancel all franchise operations with the Promoter and transfer the franchise controlling the preliminary to another party immediately with no refund of any fees paid by the Promoter to the Miss Gay Louisiana America Advisory Board. Additionally, the Miss Gay Louisiana America Advisory Board reserves the right to cancel the franchise operations completely, without appointing another party to proceed with franchise operations for a particular pageant season whereby the Promoter forfeits any franchise fees paid to the Miss Gay Louisiana America Advisory Board. This contract shall be construed under the laws of the State of Georgia.
New Promoters are required to acquire as Lead Judge, a current member of the Miss Gay Louisiana America Alumni Association, notated in the Miss Gay America Promoters Handbook, for the first year they hold their preliminary pageant unless otherwise approved by the Miss Gay Louisiana America Advisory Board in writing. Likewise, new promoters shall furnish in advance of the pageant and for approval by the state office, a detail listing of the proposed panel of Judges including the qualifications of said Judge. City Preliminary owners shall be provided (by the state pageant owner) with a Promoter’s Handbook.
Upon coronation, the Promoter should provide to the newly crowned pageant winner, a copy of
the Promoters Handbook so as to ensure the best representation of the current titleholder.
The Promoter understands that there will be no advertising of this contest, including distribution of contestant applications, website formation, until the pageant fee has been paid in
full, unless otherwise approved by the party of the first part.
As detailed in the Handbook for Promoters, only certain entertainers may appear at the
preliminary pageant as a preliminary to Miss Gay Louisiana America should “showcase” only the Miss Gay America system participants, as detailed in the promoter’s handbook. Any exceptions must be approved in advance by 2 Queens and a Princess and/or the Miss Gay Louisiana America Advisory Board.
Regardless of how many promoters are part of this franchise, only (2) passes per promoter entity (or individual) will be provided for the Miss Gay Louisiana America pageant. The promoter, along with the Miss Gay Louisiana America Advisory Board, reserves the right to declare, in the absence of the Promoter, who shall receive said passes.
This Agreement is considered confidential, by and between the Miss Gay Louisiana America Advisory Board and the specific promoter(s) who executes this Agreement. Promoters are required to furnish to the state office, detail of their pageant, as indicated on their specific webpage of the www.missgayamerica.com website. The particular pageant will not be held without such specific information being provided to the national/state office.
Entertainers for the direct preliminary pageants or any official sanctioned Miss Gay America Pageant events, will be provided, in advance, detail of regulations relative to Entertainers/Emcees. The Promoter(s) recognizes that from time to time an internal detail of Suspended Affiliates will be published as an “internal” document and ONLY for the intended use of direct preliminary pageant promoters. Likewise, such distribution of the Suspended Affiliates Register without the advance and written approval of 2 Queens and a Princess and/or the Miss Gay Louisiana America Advisory Board will constitute revocation of the Franchise by the national/state office.
This agreement, combined with the Handbook for Promoters includes but may not limited to all of the requirements of the national office. The Promoter agrees that with any issues, the ruling of 2 Queens and a Princess will be considered final.
If the Promoter(s) designates a “Pageant Director”, the state office should be notified immediately, otherwise, unless detailed in writing, all correspondence concerning the pageant will be between the state office and the below signed party.
The Promoter agrees to notify the Miss Gay Louisiana America Advisory Board of any changes in a timely manner relative to their specific contact information. It is clearly understood that all official city preliminary pageants, to Miss Gay Louisiana America are held under the ownership of 2 Queens and a Princess, the Miss Gay Louisiana America Advisory Board, its successors and/or assigned and any pageant franchise not renewed, or revoked, will revert back to the sole ownership of 2 Queens and a Princess and/or the Miss Gay Louisiana America Advisory Board.
2 Queens and a Princess and/or the Miss Gay Louisiana America Advisory Board has authority to override City Preliminary Pageant Promoter decisions, in the event that such decisions are deemed by 2 Queens and a Princess and/or the Miss Gay Louisiana America Advisory Board, to not be in the best interest of the Miss Gay America pageant system.
This agreement is effective for the Miss Gay Louisiana America 2026 pageant season but may be automatically renewed as detailed above. If automatically renewed, all current rules and regulations of the Miss Gay America Pageant is priority over any others that may have been pre-existing. If a subsequent Franchise Agreement for future pageants is not executed, the Promoter clearly agrees to the continuation of the rules and regulations denoted herein AND any amendment thereof or new regulations as adopted by 2 Queens and a Princess, its successors and/or assigns, with or without advance notice.
All preliminary pageants approved as Miss Gay America Pageants (including City Preliminary Pageants, State Pageants and Regional Pageants) are all ultimately owned under the umbrella of 2 Queens and a Princess and will revert back to the sole ownership of 2 Queens and a Princess, in the event pageant rights are revoked by 2 Queens and a Princess, its successors and/or assigns.
Promoters must have internet access and email availability. Promoters must also be able to receive attachments of information that are will be created through Microsoft Word/Excel programs.
The Promoters clearly understand that if their particular contest is scheduled on immediate days following another contest, said Promoter will be required to split travel accommodations (i.e. airfare or fuel expense) costs with the promoter of the most recent and previously scheduled contest. If there are more than one preliminary pageant scheduled in close proximity, one with another, the promoters involved will are required to share travel expenses for Miss Gay Louisiana America e.g. a "three stop" flight versus a "two stop" flight. Promoters agree to work out the specifics relative to travel accommodations with the reigning Miss Gay Louisiana America.
Handbooks are available only via Internet or in electronic format. The Promoter understands that the Miss Gay Louisiana America Advisory Board may require a photo identification of all parties involved including but not limited to contestants, promoters and pageant directors.
2 Queens and a Princess and Mad Angel Entertainment is working with a production company on a potential series. We may need to make adjustments during the year to the competition for the purpose of filming. All promoters and contestants must agree to all changes and to consent to filming. All material filmed could be put on streaming or network television. The results of the competition would still be judged the same way and would never be dictated by the production company. By completing this contract you agree to these terms.
By signing and sending this agreement, you also consent and agree to all of the information contained in this Agreement whereby said information contained herein includes but is not limited to all of the official rules and regulation of the Miss Gay America Pageant system.
